Business terms for using Servmora.
Servmora is the trading name of Chris Hayes, a sole trader in England and Wales. In these Terms, “Servmora”, “we”, “us” and “our” mean Chris Hayes trading as Servmora. These Terms form the agreement between Chris Hayes trading as Servmora and the business that creates or pays for a Servmora account.
Who these terms apply to.
Servmora is the trading name of Chris Hayes, a sole trader established in England and Wales. Chris Hayes and the business carried on under the Servmora name are the same legal person. References in these Terms to Servmora, we, us or our mean Chris Hayes trading as Servmora.
These Terms apply when a business creates, accesses or uses a Servmora account. The person accepting them confirms that they are at least 18 years old and have authority to agree to these Terms for the business.
Servmora is provided for business and professional use. If any law gives a user rights that cannot legally be excluded or limited, those rights remain unaffected.
By creating an account, ticking the acceptance box or continuing to use Servmora after becoming subject to these Terms, the business agrees to these Terms and the Privacy & Data Protection Policy.
A limited right to use the service for your business.
Subject to these Terms and payment of any applicable subscription charges, Servmora gives the business a limited, non-exclusive, non-transferable right to use the service for its own internal business operations during the period in which the account has valid access.
This right includes access by authorised team members added by the business. It does not transfer ownership of Servmora, its software, designs, documentation, branding, code, workflows or other intellectual property.
Features may differ by plan, edition, device, connected provider or availability. Servmora may improve, replace or retire features where reasonably necessary, while aiming to give reasonable notice where a material change affects a paid core feature.
The business is responsible for the people it gives access to.
Each authorised user should have their own login. Login details must not be shared outside the business or with anyone who has not been authorised to use the account.
The Account Owner controls account-level settings and may grant Manager or Staff access. Only the Owner may grant Manager access. The business is responsible for actions taken by its authorised users and for removing access when a person leaves or no longer needs it.
The business must notify Servmora promptly if it knows or reasonably suspects that an account or login has been compromised.
Use the real system before deciding whether to subscribe.
The trial is intended for genuine evaluation and use of Servmora with the business's own services, customers, bookings, prices and working hours.
No payment card is required to start the trial and there is no automatic subscription simply because the 14-day period ends. Servmora may occasionally offer genuine promotional extensions or launch bonuses; where one applies, the longer expiry shown in the business account is the trial end date for that account. Servmora may restrict repeated or abusive trial registrations intended to avoid paying for ongoing commercial use.
Choose monthly or annual billing.
Servmora offers monthly billing and annual billing. Annual billing is paid in advance for 12 months at the discounted annual price shown on the Pricing page. The current plan price and included features are those shown on the Pricing page or otherwise agreed in writing.
Once a business subscribes, the selected plan renews on its chosen monthly or annual billing cycle until future renewal is cancelled. Cancellation stops the next renewal and takes effect at the end of the period already paid for unless Servmora agrees otherwise.
Refund policy. Servmora is supplied for business and professional use. A business may ask Servmora to review a subscription payment for a discretionary refund only within 7 calendar days of that payment being taken. After the 7-day window has ended, that payment is non-refundable under Servmora's discretionary refund policy and the normal refund-request option is no longer available. Submitting an eligible refund request pauses paid working access immediately while the request is reviewed and stops future renewal. If the request is refused, Servmora may restore access for any remainder of the period already paid for, while renewal remains cancelled. Nothing in this policy excludes or limits a right or remedy that cannot lawfully be excluded, including where there has been a duplicate charge, fraud, or a material failure by Servmora to provide the contracted service.
Servmora may change its advertised subscription prices and plan structure for new subscriptions at any time. For an existing paid subscription, any increase to the renewal price will be notified at least 30 days before it takes effect at a future renewal. The business may cancel before the changed price applies. Reductions, introductory offers and promotional prices may be introduced or withdrawn without advance notice.
Servmora subscription payments are processed by Square. Square's processing charge for collecting the Servmora subscription is a cost borne by Servmora; the subscribing business pays the advertised Servmora plan price. Any fees charged by a payment method the business independently uses with its own customers, or by optional text-message, accounting or other providers, are separate from the Servmora subscription. Taxes will be handled in accordance with the law applicable to the transaction.
Where an amount remains overdue after reasonable notice, Servmora may restrict paid access until the outstanding amount is resolved.
The business remains responsible for its own customers and services.
The business is responsible for the services it advertises and supplies, the prices and taxes it applies, its customer promises, its staff, health and safety, professional obligations and compliance with laws relevant to its trade.
The business is responsible for the accuracy and legality of information entered by it, its users or its customers, and for having the necessary rights, notices and permissions to collect and use that information.
Where the business uses email, text messages or other customer communications through Servmora, it is responsible for the content sent and for having any consent or lawful basis required by applicable marketing, privacy and communications law.
The business is responsible for the devices, internet connection, email account and other equipment or services it uses to access Servmora.
Servmora must be used lawfully and without harming the service or other customers.
The business and its authorised users must not:
- attempt to access another business's account, records or permissions without authority;
- copy, resell, sublicense or make Servmora available as their own software service;
- reverse engineer, decompile, disassemble or attempt to discover source code except where the law expressly prevents that restriction;
- probe, scan, bypass or interfere with security controls without written permission;
- use automated scraping, bots or excessive automated requests in a way that disrupts the service;
- upload malware, unlawful content or material that infringes another person's rights;
- use Servmora for fraud, harassment, unlawful discrimination or any other unlawful purpose;
- circumvent plan restrictions, usage limits or technical safeguards.
Servmora may remove unlawful material or restrict access where reasonably necessary to protect customers, the service, third-party rights or legal compliance.
The business keeps its rights in the records it brings to Servmora.
The business retains ownership or other rights it already has in customer, operational and business information entered into Servmora. The business gives Servmora a limited right to host, copy, process, transmit, back up and otherwise handle that information only as reasonably necessary to provide, secure, support and maintain the service or comply with law.
That permission does not transfer ownership of the business's customer list to Servmora. The business is responsible for ensuring that it has the necessary rights and lawful basis to provide Customer Data to Servmora.
Servmora may use aggregated or de-identified service information for service performance, security and product improvement where that information does not identify the business or an individual customer.
Account Owners may import supported CSV records and export the main structured business records. Automated imports can reduce manual work but may not perfectly interpret every format from another product, so imported records should be reviewed.
Further information about personal data is set out in the Privacy & Data Protection Policy.
Non-public business information should remain confidential.
Each party will use reasonable care to protect confidential information received from the other and will use it only for the purpose for which it was provided or as required to perform this agreement.
Confidentiality does not apply to information that was already lawfully known, becomes public without breach, is independently developed without use of the confidential information, or is lawfully received from another source.
Information may be disclosed where required by law or to professional advisers, employees or service providers who reasonably need it and are subject to appropriate confidentiality obligations.
Some Servmora features depend on services supplied by other companies.
Square processes Servmora subscription payments. Optional text messages, maps and connected accounting services may rely on other third-party providers. Servmora email delivery is operated through its own mail server. Those services are governed by their own terms, privacy practices, pricing and availability.
Servmora does not process or hold payments made by a subscribing business's own customers. A business remains responsible for its own customer-payment method, refunds, disputes and any separate provider account it chooses to use outside Servmora.
Servmora is not responsible for a third-party provider's independent acts, outages, policy changes or charges, although Servmora will take reasonable steps to manage the connections it provides.
Servmora owns the product; the business owns its own content and branding.
The proprietor trading as Servmora, together with any relevant licensors, retains all rights in the software, design, user interface, documentation, logos, trademarks, workflows, code, features and other product material, including updates and improvements.
The business retains its rights in its business name, logo, customer records, photographs and other content it provides.
If a business gives Servmora suggestions or product feedback, the proprietor may use that feedback to improve or develop the service without payment or obligation, provided doing so does not transfer ownership of the business's confidential information or Customer Data.
AI assistance supports business decisions but does not replace them.
Servmora Assist may organise enquiry information, prepare drafts, generate summaries, highlight possible priorities and provide product guidance. It is available only where included in the business's access and can be switched off by the Owner.
AI-generated output can be incomplete, inaccurate or unsuitable. The business is responsible for reviewing output before relying on it, especially before sending customer communications, changing prices, making commitments or taking important business decisions.
Servmora does not guarantee that AI output will be accurate, complete, unique or appropriate for every business situation.
Servmora will continue to develop over time.
Servmora may introduce, change or remove features, interfaces or integrations as the product develops. Experimental, preview or beta features may change more frequently and may be withdrawn.
Servmora will aim to provide reasonable notice where a material change significantly affects an established paid feature, unless an urgent security, legal or provider issue requires faster action.
Support is provided through the support channels made available by Servmora. Response times are not guaranteed unless a separate written service-level agreement specifically says otherwise.
Reasonable safeguards are used, but no online service can promise uninterrupted operation.
Servmora uses account controls, protected connections, access restrictions, service monitoring and regular backup procedures designed to protect information and support recovery.
Servmora does not guarantee uninterrupted or error-free access. Maintenance, internet failures, third-party outages, hardware faults, security events or circumstances outside reasonable control may affect availability.
Businesses should keep appropriate independent copies of records they consider essential to their operations. Account Owners can export the main structured business records from Servmora.
Access may be restricted when necessary to protect the service or enforce these Terms.
Servmora may suspend or restrict all or part of an account if the business materially breaches these Terms, fails to resolve overdue payment after notice, creates a serious security risk, uses the service unlawfully, threatens other customers or the service, or where suspension is required by law.
Where practical, Servmora will give notice and an opportunity to resolve the issue. Immediate action may be taken where delay would create a material security, legal or operational risk.
Servmora will provide the service with reasonable care and skill.
Servmora will use reasonable care and skill in providing the service. However, except for rights that cannot lawfully be excluded, Servmora does not guarantee that the service will meet every individual business requirement, operate without interruption, be free of every defect or produce a particular commercial result.
Information, reports, reminders, routes, estimates and AI output generated through the service depend in part on the information supplied by users and connected providers. The business should review important information before relying on it.
Reasonable limits apply to business losses arising from the service.
Nothing in these Terms excludes or limits the liability of the proprietor trading as Servmora for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to that, and to the fullest extent permitted by law, the proprietor trading as Servmora will not be liable for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, anticipated savings, goodwill or reputation arising from use of or inability to use the service.
Subject to the exclusions above, the total aggregate liability of the proprietor trading as Servmora to the business arising out of or in connection with Servmora in any 12-month period will not exceed the greater of £100 and the total Servmora subscription fees paid or payable by that business during the 12 months immediately before the event giving rise to the claim.
This section applies whether a claim arises in contract, negligence or another legal basis, to the extent permitted by law.
The business is responsible for claims caused by its own data, content or unlawful use.
To the extent permitted by law, the business will indemnify the proprietor trading as Servmora against reasonable losses, liabilities and costs arising from a third-party claim caused by the business's unlawful use of Servmora, Customer Data it had no right to provide, communications sent without required permission, infringement caused by content supplied by the business, or a material breach of these Terms.
The proprietor will notify the business of such a claim within a reasonable time and will not unreasonably prevent the business from participating in the defence or settlement of the claim.
Future renewal stays under the business’s control.
The business may cancel future renewal of its monthly or annual subscription at any time from the billing screen. Access normally continues until the end of the period already paid for.
Servmora may terminate an account immediately for serious unlawful use, fraud, deliberate security abuse or a material breach that cannot reasonably be corrected. For other material breaches, Servmora may terminate if the breach is not corrected within a reasonable period after notice.
Servmora may also discontinue the service or terminate a business account on at least 30 days' notice where reasonably necessary for commercial, legal or operational reasons. Any prepaid amount covering a period after the termination date will be refunded where appropriate.
When working access ends, Servmora may place the account into limited read-only access so the Owner can open existing invoices and download the main business-data and accounting exports. The Owner should keep independent copies of records it needs long term. Servmora may retain or delete information in accordance with the Privacy & Data Protection Policy and applicable law.
Clauses which by their nature should continue after termination, including intellectual property, confidentiality, liability, indemnity, accrued payment obligations and governing law, continue to apply.
Neither party is responsible for delay caused by circumstances it could not reasonably control.
This may include major internet or utility failures, failure of critical third-party infrastructure, natural disasters, fire, flood, war, civil unrest, industrial action, government action or other events beyond reasonable control. This does not remove the business's obligation to pay charges already due for service already provided.
How this agreement is interpreted and enforced.
Independent businesses
The proprietor trading as Servmora and the customer business are independent parties. These Terms do not create a partnership, agency, employment relationship or joint venture between them.
Assignment
The business may not transfer this agreement to another person or business without the proprietor's written consent. The proprietor may transfer the Servmora business and this agreement as part of a genuine sale, transfer or incorporation of the business into another legal entity, provided the transfer does not remove rights already given to the customer under these Terms.
Entire agreement
These Terms, the Privacy & Data Protection Policy, the Data Processing Agreement where it applies, the selected plan and any separate written agreement expressly incorporated into them form the agreement about use of Servmora. They replace earlier discussions or representations about the same subject, except that nothing excludes liability for fraud or fraudulent misrepresentation.
Waiver and severability
If either party delays enforcing a right, that does not mean the right has been waived. If a court finds one part of these Terms unenforceable, the remaining provisions continue in effect so far as the law allows.
Third-party rights
Unless these Terms expressly say otherwise, no person who is not a party to this agreement has a right to enforce it under the Contracts (Rights of Third Parties) Act 1999.
Notices
Operational and contractual notices may be sent to the email address associated with the business account or displayed within Servmora. Formal notices to Chris Hayes trading as Servmora may be sent to support@servmora.co.uk. UK service address available upon request.
Changes to these Terms
The proprietor may update these Terms to reflect legal, security, product or commercial changes. Where a material change affects an existing paid customer, reasonable notice will be given where practical before the change takes effect.
These Terms are governed by the law of England and Wales.
Before starting formal proceedings, both parties should make a reasonable attempt to resolve a dispute in good faith through direct discussion.
Subject to any rights that cannot lawfully be restricted, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or connected with these Terms or the use of Servmora.
Commercially clear, with renewal kept under your control.
Businesses can choose monthly flexibility or discounted annual billing, cancel future renewal themselves, and keep access to downloadable records after working access ends.
